Data processing agreement (DPA)

DPA is an agreement between a data controller (such as a company) and a data processor (such as a third-party service provider).

It is typically required for full GDPR compliance if your company has a third-party service provider and you exchange personal data collected by your company with such a third-party service provider in order for this provider to provide their services.

A DPA sets forth, among other things, the purpose and duration of the processing activities, the type of personal data to be processed and defines the rights and obligations the controller and processor will have.

Marketing Consent

This Marketing Consent template is designed to obtain GDPR-compliant consent for sending newsletters by email that contain information about products, services, events, and other activities offered by third parties with whom your startup collaborates.

The consent language in this template is tailored to this specific purpose. If you intend to use the consent for a different type of communication, such as newsletters containing other categories of information or marketing content, the wording should be reviewed and amended accordingly to ensure it remains clear, specific, and compliant with applicable data protection requirements.

Contract for work

Under this template, the agreed fee is structured as a single lump-sum payment, payable upon delivery of the completed work. However, the payment terms can be adapted to suit the parties’ needs. Alternative arrangements may include milestone-based payments, where compensation is paid in stages as specific portions of the work are completed, or advance payments made before the work is finished.

This agreement can be used when an author or creator produces a work for another party under a contract for services or a contract for work. It also allows the creator to grant the other party a licence to use the completed work. While the template includes these provisions, it remains a straightforward and flexible agreement suitable for a wide range of creative works, including designs, software, written content, and other original materials.

Non-disclosure agreement (NDA)

Before sharing any business information with third parties, such as prospective clients, partners, investors, or suppliers, it is advisable to protect that information through a Non-Disclosure Agreement (NDA). By signing the NDA, the receiving party agrees to keep any confidential or sensitive information disclosed to them private and not to share it with others without permission.

This template is a mutual NDA, meaning that both parties agree to the same confidentiality obligations. As a result, each party is required to protect and refrain from disclosing any confidential information received from the other party, helping to safeguard valuable business information throughout the relationship.

Licence agreement

If you have created original work, you can allow others to use it by entering into a Licence Agreement. This template grants the licence as broadly as possible, providing exclusive rights with no restrictions on duration, geographic location, or permitted uses of the work.

The licence is designed to be granted in exchange for a fee; however, it may also be provided free of charge if desired. Before doing so, you should consider any potential tax consequences or legal implications that may arise from granting a royalty-free licence.

Services Agreement

A Services Agreement is a legally binding contract between a service provider and a client that outlines the terms and conditions under which services will be performed. It defines the scope of work, responsibilities of each party, payment terms, timelines, confidentiality obligations, intellectual property rights, liability limitations, and procedures for dispute resolution and termination.
